TOPIC – Contract Law
INFO – Specifically we will talk to who can help us understand the subject of implied contract and verbal contract, the binding or non binding aspects of this type of contact, and implications.
BIO – Arlene has developed a broad range of expertise in the areas of corporate/commercial, with a strong focus on technology based companies and assets. While Arlene maintains a mix of practice areas in commercial law, she has focused her practice on mergers and acquisitions and technology law. Arlene is the current Chair of the OBA Business Law Section Executive.
From the drafting of letters on intent, through the negotiation of the merger or purchase and sale agreement and the conduct of due diligence investigations, to the closing of the transaction, Arlene applies her energy and experience. At all times, she is able to call upon her familiarity with her tax law and technology law background.
In her expanding practice, Arlene represents a diverse group of clients,
including: small and mid-market companies in structuring their domestic and international operations and commercial agreements; public companies, primarily in the high-technology sector, involved in the acquisition of target entities; venture capital companies in structuring investments in growth industry based companies; private companies and large member organizations in corporate governance and board matters; non-residents in establishing businesses in Canada; she also advises on software licensing and other contractual matters for commercial clients; charities and not for profit entities requiring corporate governance advice and has sat on the boards of a number of charities for several years as a volunteer director.
